This End User License Agreement (“Agreement”) is between you (“you”, “Licensee”) and Panorama Studio LLC, a limited liability company, registered in Mongolia, registration number REG-NO, with its address at ADDRESS, Ulaanbaatar, Mongolia (“we”, “us”, “Licensor”), and governs your use of the Panelwright extension for SketchUp (the “Software”).

By installing, activating or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

1.1. Subject to this Agreement and payment of the applicable fee, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software on the number of computers covered by your license key (a “Seat”). A single-seat license may be activated on one computer at a time.

1.2. Trial. We may make the Software available for a limited trial period. During the trial the Software may be used for evaluation only. At the end of the trial the Software stops working unless a license key is activated.

1.3. Updates. A license includes updates released within 12 months of purchase. Updates released after that period may require a renewal fee. We are not obliged to release any update.

1.4. Transferring the license to another computer. You may deactivate the Software on one computer and activate it on another. We may limit the number of transfers within a period to prevent abuse.

2. Restrictions

You may not: (a) copy, distribute, rent, lease, lend or sublicense the Software; (b) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, except to the extent applicable law expressly permits; (c) remove or alter any proprietary notice; (d) circumvent, disable or share the license activation mechanism or license keys; (e) use the Software to build a competing product.

3. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title and interest in the Software, including all intellectual property rights. Output you create with the Software (cut lists, quotations, invoices, DXF files, models) belongs to you.

4. Third-party components

The Software runs inside Trimble SketchUp and is subject to Trimble’s terms. The Software may include hardware catalogue data (dimensions, drilling patterns) derived from publicly available manufacturer documentation. Manufacturer names and trademarks (Blum, Hettich, Häfele, Grass, Salice and others) belong to their respective owners and are used for identification only; we are not affiliated with or endorsed by them.

The Software generates quotation, invoice and contract documents from templates you configure. These templates are provided as a convenience only. You are solely responsible for ensuring that any document you issue complies with the laws, tax rules and commercial practices that apply to you. We are not a law firm or accounting firm.

6. Data and privacy

The Software runs on your computer. See our Privacy Policy for what data is processed. In short: activation uses a machine identifier; diagnostics are stored locally and only sent if you choose to send them; we do not operate a telemetry server.

7. Support

We provide support by e-mail at support@panelwright.app for the duration of your update period. We aim to respond within two business days but do not guarantee response times or that any issue will be resolved.

8. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR THAT ITS RESULTS (INCLUDING CUT LISTS, NESTING LAYOUTS, DRILLING PATTERNS AND COST CALCULATIONS) ARE ACCURATE OR SUITABLE FOR PRODUCTION WITHOUT VERIFICATION. You are responsible for checking all output before cutting material or issuing documents to clients.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST MATERIAL, PRODUCTION DELAYS OR DATA LOSS, ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE 12 MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain exclusions; in that case the exclusions apply to the extent permitted.

10. Term and termination

This Agreement is effective until terminated. It terminates automatically if you breach it. On termination you must stop using and uninstall the Software. Sections 3, 5, 8, 9 and 12 survive termination.

11. Refunds

Purchases made through Trimble Extension Warehouse are subject to Trimble’s refund policy (currently: non-refundable). Purchases made directly from us are subject to our published refund policy at https://panelwright.app.

12. Governing law

This Agreement is governed by the laws of Mongolia, excluding its conflict-of-law rules. Disputes shall be resolved in the courts of Ulaanbaatar, Mongolia, unless mandatory consumer-protection law in your country provides otherwise.

13. Changes

We may update this Agreement for new versions of the Software. The version that applies is the one shipped with, or linked from, the Software version you use.
